Terms of Use

1. Purpose

These Terms of Use govern access to and use of HinaSpace, a platform connecting live performance companies and producers ("Companies") with programmers and venues ("Venues"). Any registration on HinaSpace implies full and unconditional acceptance of these Terms.

2. Accounts and roles

Registration assigns an account role (Company, Venue, or Administrator) determining accessible features. Each user guarantees the accuracy of the information provided (identity, SIRET, entertainment business license where applicable) and is responsible for the confidentiality of their credentials.

3. Catalog and bookings

Companies publish show listings (availability, licensing fee, technical specs). Venues may submit booking requests, negotiate terms, then conclude a dematerialized licensing contract. The workflow (request → negotiation → contract → payment → performance → review) is described on the platform and is binding between the parties.

4. Verified reviews

A review can only be submitted by a programmer who has held a confirmed performance on the platform. Reviews are the responsibility of their author; HinaSpace reserves the right to moderate any content that is manifestly abusive, defamatory or misleading.

5. Payment and escrow

Payments are processed through Stripe (Stripe Connect). Funds paid by the Venue are held in escrow until the performance, then released to the Company, less HinaSpace's commission, charged only upon the actual transaction. In case of cancellation before the performance, refund terms are specified at the time of booking.

6. Video recordings and certification

Uploading video recordings requires the importing Company to confirm recording consent (GDPR) and guarantee it holds the necessary rights to the uploaded content. Recordings may be anonymized (audience blurring) and are encrypted at rest; a source and ownership attestation is generated for traceability purposes, without any forensic expert value.

7. Pre-purchasing productions and the projects marketplace

Venues may pre-purchase dates on a show currently in development, with milestone tracking and an escrowed deposit. Creators of projects in development may publish a subject and a message of intent to find partners; any partnership proposal received is binding on its author but does not constitute a contract until formally accepted by both parties.

8. Copyright (SACD/SACEM)

Declarations and royalties owed under copyright (SACD) and music rights (SACEM) remain the responsibility of the performance organizer, in accordance with applicable regulations. HinaSpace does not assume the parties' declarative obligations.

9. Termination

Each user may request closure of their account at any time. HinaSpace may suspend or terminate an account in case of serious breach of these Terms, without prejudice to contractual commitments already concluded between users via the platform.

10. Governing law

These Terms are governed by French law. Any dispute relating to their interpretation or performance falls under the jurisdiction of the French courts, failing an amicable resolution.

11. Changes to these Terms

HinaSpace may amend these Terms at any time; users will be informed of any substantial change. Continued use of the platform after a change constitutes acceptance of the new Terms.
